Terms of Use for the Convexio SaaS Platform
These terms of use describe the contractual subject matter, scope of services, and billing model for the use of the Convexio SaaS platform.
1. Provider and scope
- The provider is Convexio GmbH, Eifflerstraße 43, 22769 Hamburg, Germany.
- The offer is addressed exclusively to entrepreneurs within the meaning of Section 14 BGB as well as legal entities under public law and special funds under public law.
- Consumers within the meaning of Section 13 BGB cannot enter into paid SaaS contracts with Convexio.
2. Subject matter of the contract
- Convexio provides a browser-based SaaS platform with which PDF documents can be uploaded, processed, extracted, structured, reviewed, and exported.
- The specific scope of functions includes in particular:
- upload and management of documents in projects
- automatic table and data recognition
- context-dependent analysis functions where enabled for the respective profile
- editing extracted data inside the product
- export and retrieval of billing-relevant documents and invoices
- Convexio owes the provision of the platform functions according to the current service description, but not a specific economic or legal outcome.
- Convexio does not provide legal advice. Analyses and outputs serve only to support the customer’s professional work.
- Individual customizations, customer-specific development, migrations, or separate support and SLA services are only owed if expressly agreed in writing.
3. Contract conclusion and activation
- The contract for paid use of the SaaS platform is concluded with Convexio when the customer selects a paid plan in the product, accepts the required contractual documents, and confirms activation.
- Stripe is the payment service provider and system for products, prices, subscriptions, and invoices, but is not a contractual party for the SaaS service itself.
- Convexio may make activation dependent on a valid payment method and complete billing details being provided.
4. Billing model
4.1 Plans
- Convexio offers paid usage models that may consist of recurring plan fees and/or usage-based fees.
- The current plans, prices, included analysis units, billing interval, and any overage rates are determined by the current pricing presentation published in the product and on the website at the time the contract is concluded.
- The conditions shown to the customer during the activation and checkout process are decisive for the specific contract.
4.2 Analysis units (AU)
- The central billing unit is the analysis unit (
AU). - For generic page-based processing, the current rule is:
1 AU = 1,000 PDF pages (A4), regardless of file count and with a minimum of1 AU. - For certain context-specific profiles, a different usage-based model or a fixed project-based billing unit may apply.
- Special contexts that are not generally enabled or not yet priced are not owed and may be rejected by Convexio until explicitly enabled.
4.3 Billable events
- Billable usage arises through product actions that trigger paid analysis or unlock operations under the current tariff model.
- This may include in particular:
- processing uploaded documents
- unlocking documents or projects
- automatic unlocking after successful extraction if the customer has enabled this option
- Pure read access without billing-relevant unlocking or processing does not create separate usage-based remuneration unless expressly agreed otherwise.
4.4 Invoicing and payment
- Recurring base or package fees as well as usage-based fees are processed via the payment method stored in the customer account.
- Convexio may provide invoices electronically in the platform.
- Unless stated otherwise, all prices are net prices plus applicable VAT.
- The customer is obliged to keep valid and complete billing and payment data on file.

5. Term, plan changes, termination
- Pay-as-you-go models have no minimum purchase commitment but may require an ongoing payment authorization.
- Monthly and yearly packages run for the selected billing period and renew according to the Stripe or plan logic shown in the product unless effectively terminated.
- Plan changes, downgrades, and terminations are governed by the rule shown in the product at the relevant time and are documented in the customer account.
6. Suspension in case of payment issues
- Convexio may block new billing-relevant actions if no valid payment method is stored, the account is
past_dueorcanceled, or another significant breach of duty exists. - Non-billing-relevant read access to existing data may, where technically and legally possible, continue to be permitted.
- Access is restored once the reason for suspension has been remedied and, where required, successful payment recovery has been completed.
7. Customer obligations
- The customer is responsible for the lawfulness of the content uploaded and for authorizing its processing.
- The customer must ensure that only authorized users have access to its projects and data.
- Access credentials must be treated confidentially and protected against unauthorized access.
8. Availability and support
- Convexio provides the platform via the internet within its technical and operational capabilities.
- A specific service level or hotline availability is only owed if expressly agreed.
- Convexio may further develop, update, and change the platform for security or operational reasons as long as the essential contractual benefit for the customer is not unreasonably impaired.
9. Data protection and processing on behalf
- Where Convexio processes personal data that the customer places in the platform, Convexio generally processes this data as a processor for the customer.
- For the customer’s own contract, billing, and user data, Convexio is the controller under data protection law.
- Where necessary, the parties conclude a data processing agreement.
10. Rights to the platform and customer data
- All rights to the platform, the software, and the underlying models remain with Convexio or the respective rights holders.
- The customer retains rights to uploaded content and customer data generated in the course of contractual use unless otherwise provided by law or contract.
11. Supplementary contractual documents
In addition to these terms of use, the general contract terms of Bitkom (AV Bitkom) and the Bitkom SaaS terms apply insofar as they have been validly incorporated for the customer and do not conflict with these terms of use. In the event of contradictions, the product-specific provisions of these terms of use for the Convexio SaaS platform take precedence.
